Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and Bifrost Tech (Private) Limited ("Bifrost Tech," "we," "us," or "our"), a private limited company incorporated in Pakistan with registered office at B-310 Post Office Society, Sector 13A, Gulzar E Hijri, Karachi, Pakistan.

By installing, accessing, or using the "pak-shipping-recon" application (the "App"), available at https://pak-shipping-recon.bifrosttech.io through the Shopify App Store, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not install or use the App.

Description of Service

The App provides courier billing reconciliation services for Shopify merchants operating in Pakistan, including:

• - Automated comparison of courier invoices against Shopify orders
• - Detection of overcharging, undercharging, and weight-based discrepancies
• - Support for major Pakistani couriers (PostEx, TCS, Digidokaan aggregator including Leopards, Trax, M&P, BlueX, and others)
• - Weight fraud detection through Shopify variant weight comparison
• - Withholding tax audit for COD orders
• - Customizable Service Level Agreements (SLA) per merchant per courier
• - Reconciliation reports and CSV exports

Eligibility

To use the App, you must:

• - Be at least 18 years of age
• - Operate a legitimate business on Shopify
• - Have authority to bind your business to these Terms
• - Comply with Shopify's Merchant Terms of Service
• - Comply with applicable laws in your jurisdiction

Account and Access

Installation

You may install the App through the Shopify App Store. Installation constitutes acceptance of these Terms and our Privacy Policy.

Authentication

The App uses Shopify's OAuth authentication. You are responsible for maintaining the security of your Shopify account.

Multiple Stores

Each Shopify store requires a separate installation. Subscription plans apply per store.

Free Trial

• -New installations receive 100 orders of reconciliation at no cost (lifetime, non-renewable)
• -Once 100 orders are used, a paid plan must be selected
• -Free trial is one-time per store domain — reinstallations do not reset the trial

Billing

• -All charges are processed through Shopify's Managed Billing (RecurringApplicationCharge)
• -Charges appear on your regular Shopify invoice
• -Prices are in USD (converted to your local currency by Shopify)
• -Billing cycles are monthly (30-day periods)

Refund Policy

• -7-day money-back guarantee: If you cancel within 7 days of subscribing to a paid plan, you may request a full refund by emailing support@bifrosttech.io
• -After 7 days: No refunds for the current billing period
• -Refund process: Refunds are processed through Shopify Billing within 5-10 business days
• -Downgrades: Plan downgrades take effect at the end of the current billing cycle without refund

Quota Enforcement

• - Order quotas reset at the start of each billing cycle
• - Exceeding your plan's quota will block further reconciliations until quota resets or plan is upgraded
• - Free Trial quota is lifetime, not monthly

Custom Plans

Merchants requiring more than 50,000 orders per month must contact info@bifrosttech.io to arrange a custom pricing plan.

Cancellation and Termination

Cancellation by Merchant

You may cancel your subscription at any time by:

• - Uninstalling the App from your Shopify admin
• - Contacting support@bifrosttech.io

Cancellation is effective at the end of the current billing cycle. No further charges will be applied.

Data After Cancellation

• - Upon uninstallation, all merchant data is permanently deleted within 48 hours (Shopify GDPR requirement)
• - You may request expedited deletion by emailing info@bifrosttech.io
• - No data recovery is possible after deletion

Termination by Bifrost Tech

We reserve the right to suspend or terminate your access if you:

• - Violate these Terms
• - Engage in fraudulent, illegal, or abusive behavior
• - Fail to pay subscription fees (as managed by Shopify)
• - Attempt to reverse-engineer, hack, or misuse the App

We will provide notice before termination except in cases of security threats or legal violations.

Merchant Responsibilities

Accurate Data

You are responsible for:

• - Providing accurate Service Level Agreements (SLA) uploaded to the App
• - Ensuring courier invoice files uploaded are legitimate and unaltered
• - Maintaining accurate product weights and dimensions in Shopify
• - Verifying reconciliation results before pursuing disputes with couriers

Legal Compliance

You must comply with:

• - All applicable laws in Pakistan and your operating jurisdictions
• - Shopify's Merchant Terms of Service
• - Federal Board of Revenue (FBR) tax regulations regarding withholding tax
• - Data protection laws regarding your customers' information

Courier Disputes

• - The App provides analysis and evidence for potential billing discrepancies
• - You are solely responsible for pursuing disputes with your couriers
• - Bifrost Tech does not mediate, negotiate, or resolve disputes between merchants and couriers

Intellectual Property

Our Intellectual Property

The App, including its code, design, features, and documentation, is the property of Bifrost Tech. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose during your active subscription.

Your Data

You retain all rights to your business data, order information, and courier invoices. Bifrost Tech acts as a data processor on your behalf.

Feedback

Suggestions, feedback, or feature requests you provide may be used by us to improve the App without obligation to you.

Prohibited Uses

You may NOT:

• - Reverse engineer, decompile, or attempt to extract source code
• - Use the App for illegal purposes or to violate courier agreements
• - Attempt to bypass quota limits or billing enforcement
• - Share your access with unauthorized parties
• - Use automated tools to scrape App data
• - Interfere with the App's operation or security
• - Submit false or fraudulent data
• - Use the App to harass, deceive, or harm couriers or customers

Service Availability

Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance may occur with reasonable notice.

Data Accuracy

• - The App relies on data provided by Shopify and uploaded courier invoices
• - We do not guarantee 100% accuracy of reconciliation results
• - Results are provided as analytical tools; final decisions rest with the merchant
• - Category-estimated weights and invoice-fallback weights are approximations

Third-Party Dependencies

The App depends on Shopify's API. We are not liable for issues caused by:

• - Shopify API downtime or changes
• - Changes to courier billing formats
• - Changes to Pakistani tax regulations

Disclaimers

As-Is Service

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Financial Recovery

• - The App identifies potential billing discrepancies but does NOT guarantee recovery of any amounts
• - Actual recovery depends on your negotiation with couriers and their willingness to correct discrepancies
• - We are not responsible for actual financial outcomes from disputes

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• - Bifrost Tech's total liability for any claim arising from these Terms or the App shall not exceed the amount you paid us in the 3 months preceding the claim
• - We are NOT liable for indirect, incidental, consequential, or punitive damages
• - We are NOT liable for lost profits, lost data (beyond backups we control), or business interruption
• - We are NOT liable for actions or omissions of couriers, Shopify, or other third parties

Indemnification

You agree to indemnify and hold harmless Bifrost Tech, its directors, employees, and affiliates from any claims, damages, or expenses arising from:

• - Your violation of these Terms
• - Your misuse of the App
• - Your business operations or disputes with couriers
• - Your violation of applicable laws or third-party rights

Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via:

• - Email to your registered merchant email
• - In-app notification banner
• - Updated "Last Updated" date

Continued use of the App after changes constitutes acceptance of the updated Terms.

Modifications to the App

We reserve the right to:

• - Add, modify, or remove features
• - Adjust pricing plans (with 30-day advance notice)
• - Update supported couriers
• - Improve or change reconciliation algorithms

Governing Law and Jurisdiction

Governing Law

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

Jurisdiction

Any disputes arising from these Terms or use of the App shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.

Alternative Dispute Resolution

Before initiating legal proceedings, parties agree to attempt good-faith resolution through direct communication with support@bifrosttech.io.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bifrost Tech regarding the App.
